By accessing and using the services of SoChlo Productions LLC (“we,” “our,” or “us”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our services.
2. Services
SoChlo Productions LLC provides professional videography, photography, photo editing, video editing, A/V services, and Instagram management services. The specific scope of work will be defined in individual service agreements or contracts.
3. Client Responsibilities
- Provide accurate information and timely feedback
- Secure necessary permissions and releases for locations and subjects
- Make timely payments according to agreed-upon schedules
- Respect our team members and maintain professional conduct
4. Payment Terms
Payment terms will be specified in individual service agreements. Generally, a deposit may be required to secure booking. Final payment is typically due before final deliverables are released. Late payments may incur additional fees.
5. Cancellation & Rescheduling
Cancellation and rescheduling policies will be outlined in your service agreement. Deposits may be non-refundable. We reserve the right to cancel or reschedule due to circumstances beyond our control, including weather, illness, or equipment failure.
6. Intellectual Property
SoChlo Productions LLC retains copyright to all created content unless otherwise specified in a written agreement. Clients receive a license to use the content for agreed-upon purposes. We reserve the right to use project work for portfolio and promotional purposes unless otherwise agreed in writing.
7. Delivery & Timeline
We strive to meet all agreed-upon deadlines. However, timelines are estimates and may be affected by project complexity, client feedback turnaround, or unforeseen circumstances. Rush delivery may be available for an additional fee.
8. Liability Limitation
SoChlo Productions LLC will not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the specific service in question. We maintain appropriate insurance but are not responsible for venue damage or accidents beyond our control.
9. Revisions & Edits
The number of included revisions will be specified in your service agreement. Additional revisions beyond the agreed scope may incur additional charges. Major scope changes may require a new agreement.
10. Force Majeure
We are not liable for failure to perform services due to causes beyond our reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
